1. Agreement to Terms

By accessing or using the Zelov Studio website and services, you confirm that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are entering into these Terms on behalf of a business or organization, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, you must not use our website or services.

2. Description of Services

Zelov Studio provides professional web design services specializing in websites for dental practices, contractors and HVAC companies, and personal injury law firms. Our services include:

• Custom website design and development
• Responsive, mobile-optimized websites
• Search engine optimization (SEO) setup
• Booking and contact form integration
• CRM integration (where applicable)
• Performance optimization

3. Pricing and Payment

All prices are listed in US dollars (USD) and are displayed on our Pricing page. Prices are subject to change, but any changes will not affect orders that have already been placed and confirmed.

Payment Structure

• 50% upfront: Due at the time of order to begin your project.
• 50% on delivery: Due upon delivery of the completed website, before it goes live.

Payment Methods

All payments are processed securely through Stripe. We accept major credit cards (Visa, Mastercard, Discover) and other payment methods supported by Stripe. All transactions are encrypted and PCI-compliant.

4. Project Timeline and Delivery

Project delivery timelines depend on the package selected:

• Starter Package: 48–72 hours
• Professional Package: 5 business days
• Premium Package: 10 business days

Timelines begin once we receive your initial payment and all required content (text, images, branding assets). Delays in providing content may extend the delivery timeline.

Delivery means providing you with a staging link to review your completed website. Once you approve the final design and the remaining balance is paid, we will deploy the website to your live domain.

5. Revision Policy

All packages include unlimited revisions within the original project scope. We will revise your website until you are completely satisfied.

What Counts as a Revision

• Color, font, or styling changes
• Layout adjustments
• Text and content updates
• Image swaps or repositioning
• Spacing, sizing, and alignment tweaks

What Falls Outside Scope

The following are not considered revisions and may require additional fees:

• Adding pages beyond the package limit
• Complete redesigns or fundamental changes to the approved direction
• Custom functionality not included in the original package (e.g., e-commerce, member portals)
• Third-party integrations not specified in the package

7. Client Responsibilities

To ensure timely and successful delivery, you agree to:

• Provide content promptly: Submit all required text, images, logos, and branding assets in a timely manner. Delays in content submission may extend delivery timelines.
• Give timely feedback: Respond to review requests within 5 business days. Projects with no client feedback for 30 consecutive days may be considered abandoned.
• Provide accurate information: Ensure all business information, contact details, and content you provide is accurate and does not infringe on any third-party rights.
• Maintain domain and hosting access: Provide any necessary domain credentials or DNS access required for deployment.

8. Intellectual Property

Client Ownership

Upon full payment, you own all rights to the final website deliverables, including the custom design, code, and any original content created specifically for your project. You are free to use, modify, and distribute the deliverables as you see fit.

Portfolio Rights

We retain the right to showcase your completed website in our portfolio, case studies, and marketing materials. If you prefer your project not be displayed publicly, please notify us in writing and we will honor your request.

Third-Party Assets

Any stock images, fonts, icons, or third-party assets used in your project are subject to their respective licenses. We will only use assets that permit commercial use, and we will inform you of any ongoing license requirements.

9. Limitation of Liability

To the maximum extent permitted by law, Zelov Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, business opportunities, data, or goodwill, arising out of or related to our services.

Our total liability for any claims arising from or related to our services shall not exceed the total amount you paid to Zelov Studio for the specific project giving rise to the claim. This limitation applies regardless of the theory of liability (whether in contract, tort, or otherwise).

10. Indemnification

You agree to indemnify, defend, and hold harmless Zelov Studio, its owners, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you provide for inclusion on your website.

11. Termination

By You

You may cancel your project at any time by contacting us in writing. If you cancel before work has begun, you will receive a full refund of your deposit. If work has already started, you will be charged for the work completed, and any remaining balance will be refunded. Completed work performed prior to cancellation remains subject to the payment terms.

By Us

We reserve the right to terminate a project if: (a) payment is not received within 14 days of the due date; (b) the project involves content that is illegal, defamatory, or violates third-party rights; (c) the client is unresponsive for 30 consecutive days; or (d) the client engages in abusive or threatening behavior toward our team. In such cases, we will provide a prorated refund for work not yet completed.

12. Dispute Resolution

In the event of a dispute arising from or relating to these Terms or our services, both parties agree to the following process:

1. Good faith negotiation: Both parties will first attempt to resolve the dispute through informal negotiation for a period of 30 days.
2. Mediation: If the dispute cannot be resolved informally, both parties agree to attempt mediation before a mutually agreed-upon mediator.
3. Binding arbitration: If mediation fails, the dispute will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in the State of Delaware, and the arbitrator's decision will be final and binding.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought in the state or federal courts located in the State of Delaware.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and Zelov Studio regarding your use of our services and supersede all prior agreements, communications, and understandings.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. We will update the “Last updated” date at the top of this page. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you via email.
